Terms & Conditions

1. Agreement to Terms
By accessing and using the services provided by The Designers Club Inc. ("TDC"), you agree to be bound by these Terms and Conditions. These terms apply to all clients and users of TDC services, including but not limited to those located in Ontario, Canada. If you do not agree to these terms, please do not use our services.
2. Services Provided
TDC offers a variety of design services categorized into Graphic Design, Web & App Design, Content Creation & Marketing, Product & Industrial Design, and Industrial Engineering. Specific services include:

3. Payment Terms
  • One-Time Payment: Services requiring a one-time payment must be paid in full upfront. Clients will not incur additional charges unless additional features or services are requested, which will be quoted and invoiced separately.
  • Monthly Payment: For services provided on a monthly basis, payments will be automatically deducted from the agreed payment method on the specified date each month. Failure to make a payment within 7 business days will result in the cancellation of the monthly services.
4. Additional Features
Clients requesting additional features or services beyond the initial agreement will receive a quote and invoice for those services. These additional services will only commence upon client confirmation and payment.
5. Refund Policy
Refunds for one-time purchases are generally not available. However, TDC aims to ensure customer satisfaction and will review refund requests on a case-by-case basis. To request a refund, clients must contact customer support at info@tdc.studio or 416-450-8289, providing their invoice or receipt, personal information, details about the service purchased, and the reason for the refund request.
6. Delivery Times
The estimated delivery time for each service is specified on the purchasing page and service list. Delivery times may vary based on the complexity of the project.
7. Cloud File Storage Policy
  • Storage Duration: The duration of cloud file storage varies by service and is specified in the service list. Clients will receive a reminder email at least one week before their files are scheduled to be removed from web storage.
  • File Delivery: Final versions of all files will be delivered via Google Drive, email, or other preferred delivery methods. TDC retains copies of files in local storage and third-party cloud services like Google Drive.
8. Dispute Resolution
Any disputes arising under these terms shall be governed by the laws of Ontario, Canada. Clients agree to submit to the jurisdiction of the courts in Ontario, Canada.
9. Confidentiality and Privacy
  • Client Data: TDC is committed to protecting client information and will not share it with any external organizations or advertising agencies. Client data, including passwords, names, addresses, and card information, is handled securely by third parties where necessary. While TDC takes extensive measures to safeguard client information, complete security cannot be guaranteed, but it remains a top priority.
  • Usage of Designs: TDC may use general information and renders of completed projects in its portfolio and on social media unless the client specifically requests otherwise. Client consent is sought at the project's end regarding this usage.
10. Intellectual Property
  • Ownership: Clients retain ownership of the final designs unless otherwise specified. TDC will inform clients if any elements require separate licensing.
  • Usage Rights: Clients have full rights to use the designs. TDC is not responsible for the client's use of the designs.
11. Modification of Terms
TDC reserves the right to modify these terms at any time. Clients will be notified of any significant changes. Continued use of TDC services after changes are made constitutes acceptance of the new terms.
12. Limitation of Liability
To the fullest extent permitted by law, TDC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) Your use or inability to use the services; (b) Any unauthorized access to or use of our servers and/or any personal information stored therein; (c) Any interruption or cessation of transmission to or from our services; (d) Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (e) Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the services; and/or (f) The defamatory, offensive, or illegal conduct of any third party.
13. Indemnification
You agree to defend, indemnify, and hold harmless TDC and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) Your use of and access to the services, including any data or content transmitted or received by you; (b) Your violation of any term of this agreement, including without limitation your breach of any of the representations and warranties above; (c) Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (d) Your violation of any applicable law, rule, or regulation; (e) Any claim or damages that arise as a result of any of your user content or any that is submitted via your account; or (f) Any other party’s access and use of the services with your unique username, password, or other appropriate security code.
14. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in Ontario, Canada, to resolve any dispute or claim arising from these Terms.
